US drug maker Johnson & Johnson has acquired an 18 per cent stake in its Dutch counterpart Crucell in a move which it hopes will lead it to developing a universal flu vaccine.
Crucell has demonstrated the development of antibodies which can fight a broad range of influenza strains, including bird and swine flu. The vaccine the company is working on is said to be more encompassing and effective than the current market leader Tamiflu.
Paul Stoffels, is head of research at Johnson & Johnson. "Each year, vaccines must be formulated to address the current influenza strain," he said. "A universal antibody or vaccine that protects against a broad range of strains would be an important advance in helping doctors and nurses manage the annual influenza season and control acute epidemic and pandemic outbreaks."
Crucell sparked interest among investors after it demonstrated its research in a Science magazine. It said it chose Johnson and Johnson to sell a stake to because their offer included the best profit return prospects and the best chance of the product being developed to its full potential, rather than being sidelined to protect existing markets. This is because Johnson & Johnson do not currently hold one of the leading positions in the vaccine markets and will therefore be keen to bestow the necessary focus upon it.

If you want to know what the analysts thought of the CC, compare the PPS of the stock alongside Brus Q+A, the analysts were texting to their clients in the middle of the Analyst CC.

"Brus is dissembling and Bullshitting, dump shares of Crucell".

They shares went down a full euro right after Brus spoke.

Nobody likes this "Super Secret" crap anymore.

If you want to know what the analysts thought of the CC, compare the PPS of the stock alongside Brus Q+A, the analysts were texting to their clients in the middle of the Analyst CC.

They shares went down a full euro right after Brus spoke.

Nobody likes this "Super Secret" crap anymore.

Ik snap werkelijk niet wat je hier komt doen, hebt te zoeken. Waarschijnlijk word je goed voor je destructieve houding hetaald. Als dat zo is, zijn er partijen die belang hebben bij jouw stompzinnige opmerkingen. Dat bied weer een ander perspectief.

Banging:

Na twee posts al alles over mij willen weten? Ik heb niet zo veel belangrijks te melden.. Ik kom hier af en toe lezen als er nieuws is rond crxl. Dit is mijn enige profiel (krijg al iex spam genoeg van een account). Ik ben positief ingesteld, dus ja, ik ben zelf ook meer cheerleader dan shorty. Ronnie de banger heeft wel wat te melden. Ik lees zijn posts en profiteer er soms van. Hij valt momenteel in herhaling maar heeft wel een punt. Meer helderheid in de deal is altijd welkom al heb ik er zelf voorlopig vrede mee.

Het is je goed recht om onder de rokken van je moeder te schuilen. Waarom veranderen mensen voortdurend van alias vraag ik me steeds af. Maar ze zullen er wel een goede reden voor hebben bedenk ik dan.

De omzet gisteren in Amsterdam en New York was opgeteld meer dan 6 mio aandelen. Als je gelijk zou hebben -wat ik betwijfel- zou dat wel een héle dure move geweest zijn.

AMSTERDAM (Dow Jones)--SNS Securities verhoogt het koersdoel voor Crucell naar EUR17,40 van EUR16,50, na de deal met Johnson & Johnson, die volgens analist Ilja Zaanen de positie van Crucell op de lange termijn versterkt. De kans op een overnamebod door een derde partij, die de koers recent heeft aangejaagd, is daarentegen aanzienlijk gedaald. Crucell is van prooi nu zelf jager geworden, op zoek naar een overname van een biotechbedrijf dat reeds producten op de markt of in een vergevorderd stadium van ontwikkeling heeft, om zijn risicoprofiel te spreiden. Het advies blijft hold. Het aandeel Crucell noteert dinsdag rond 16.10 uur 1,4% hoger op EUR15,55. De Midkap-index noteert vlak. (AVR)

AMSTERDAM – De Amerikaanse farmaciereus Johnson & Johnson (J&J) heeft het Leidse biotechbedrijf Crucell uitgekozen als partner in de zoektocht naar een griepvaccin. De Amerikanen kopen voor €301,8 miljoen nieuwe aandelen en verwerven daarmee een 18%-belang in het Nederlandse concern. „We blijven onafhankelijk.”
J&J en Crucell zijn oude bekenden van elkaar. Al in 1998 richtte J&J-dochter Tibotec en het Leidse bedrijf samen biotechbedrijf Galapagos op. En Crucell werkt sinds november 2006 met hetzelfde Tibotec samen aan een vaccin, opmerkelijk daarbij is overigens dat de partners nooit hebben onthuld om wat voor vaccin het gaat.
Maar deze deal, waarbij J&J de grootste aandeelhouder van Crucell wordt, gaat wel verder dan een samenwerking. Crucell-topman Ronald Brus ziet in de overeenkomst een definitieve bevestiging van de waardering van J&J in de kunde en kennis van zijn bedrijf.
Volgens Brus heeft een artikel in het wetenschappelijke tijdschrift Science, dat eind februari werd gepubliceerd, J&J het laatste zetje gegeven. In dat artikel zetten wetenschappers van onder meer Crucell uiteen hoe griep te genezen en te voorkomen. Crucell sleepte in augustus al een contract binnen van het Amerikaanse National Institutes of Health om nieuwe griepvaccins te ontwikkelen. Het bedrag van $40,7 miljoen dat met de overeenkomst was gemoeid, kan door vervolgopdrachten oplopen tot $69,1 miljoen.

Griepdeal
Crucell sloot in december 2003 al een griepdeal met Sanofi Pasteur, maar die is niet te vergelijken met de gisteren gesloten overeenkomst. Aan sanofi werd destijds alleen de productietechniek PERC6 geleverd om een griepvaccin mee te ontwikkelen. Met J&J wil Crucell uiteindelijk ook zelf een antilichaam op de markt gaan brengen.
„Het probleem bij de meeste antigriepmedicijnen is dat veel griepvirussen er inmiddels resistent tegen zijn”, legt Brus uit. Als voorbeeld geeft hij Tamiflu, een antiviraal middel dat nu onder meer wordt ingezet tegen de Mexicaanse griep. „Dat gaat niet voor ons antilichaam gelden.”
Met het geld van NIH en J&J als partner gaat Crucell nu verder met het ontwikkelen van dat antilichaam. Als het vaccin in het ontwikkelingsstadium van de fase van grote klinische studies komt, neemt J&J het stokje van Crucell over. De eventuele verkoopopbrengst van een vaccin in Europa gaat naar Crucell, daarbuiten vult het de kas van J&J. Daarnaast krijgt Crucell royalty’s en betalingen voor het halen van onderzoeksdoelen die volgens Brus kunnen oplopen tot „enkele honderden miljoenen euro’s”. J&J laat, ondanks zijn 18%-belang, geen commissaris bij Crucell zetelen. En volgens Brus blijft Crucell „geheel onafhankelijk”. Maar de topman gaf wel toe dat J&J als grootaandeelhouder „pole position heeft”.
De twee partijen hebben onder meer afgesproken dat J&J de komende drie jaar zijn belang niet uitbreidt, tenzij Crucell daarmee instemt. Ook mag J&J de komende drie maanden geen Crucell-aandelen verkopen. En als zich een overnamekandidaat meldt, dan moet J&J zijn belang verkopen als de top van het bedrijf en 52% van de aandeelhouders met een bod instemmen. Eerder dit jaar ketste een overname door farmaciebedrijf Wyeth af omdat die op zijn beurt door Pfizer werd opgeslokt.
Omdat J&J nieuwe aandelen Crucell heeft gekocht, verwatert het belang van de overige aandeelhouders enigszins. De Rotterdamse vastgoedbaron Aat van Herk was voor de deal met de Amerikaanse farmaceut met 10% de grootste aandeelhouder van Crucell.

BOSTON (MarketWatch) -- Johnson & Johnson purchased an 18% stake in Dutch flu-vaccine and drug developer Crucell as part of a collaborative agreement for the development of new influenza therapies, the health-care giant said Monday.

The agreement also calls for Crucell /quotes/comstock/15*!crxl/quotes/nls/crxl (CRXL 22.77, +0.64, +2.89%) /quotes/comstock/24s!e:crxl (NL:CRXL 15.67, +0.34, +2.18%) to receive milestone and royalty payments on products covered by the pact.

J&J and Crucell are hoping to develop the product to combat several strains of flu, including the H1N1 and H5N1 strains. H1N1 includes those strains that cause seasonal and swine flu, while H5N1 is associated with the deadly avian flu.

J&J will be restricted in buying up more Crucell shares for three years, and the blue chip can't transfer shares for three months.

In a conference call with analysts, Crucell Chief Executive Ronald Brus said his firm was open to making its own acquisitions.

"Crucell made acquisitions in the past as part of its growth strategy, and we aren't afraid to do more buys," Brus said.

The Crucell deal marks the second time in recent weeks that J&J has bought an equity stake of nearly 20% in a European biotech group.

Earlier this month, J&J amended a deal with Ireland's Elan Corp. /quotes/comstock/13*!eln/quotes/nls/eln (ELN 7.21, -0.14, -1.84%) in which it bought an 18.4% stake for $885 million as part of an Alzheimer's drug development pact.

Shares of J&J were up over 1% at $61.37 in afternoon trading.

Crucell investors, meanwhile, were far less enthused with the deal, pushing its shares nearly 6% lower to $22.30. The shares have been bid up substantially over the past few weeks amid heightened concerns about the ongoing H1N1 flu pandemic and possible takeover speculation.

Mutlu Gundogan, analyst at Royal Bank of Scotland, said he was surprised that the Dutch company agreed the deal, as it's already cash flow positive and the flu antibody program was still at an early stage.

"We believe this also lowers the potential for Crucell being acquired in the short-term, in particular we believe the chance of Pfizer-Wyeth returning as a potential bidder has diminished significantly," Gundogan said.

Crucell was in talks to be acquired by Wyeth /quotes/comstock/13*!wye/quotes/nls/wye (WYE 48.58, +0.49, +1.02%) for $1.35 billion in January, but those talks collapsed after Wyeth agreed to be bought by Pfizer Inc. /quotes/comstock/13*!pfe/quotes/nls/pfe (PFE 16.80, +0.23, +1.39%) , a merger expected to close in the fourth quarter.

Meanwhile, Needham & Co. analyst Alan Carr said he thought the J&J investment was a positive development for Crucell.

"In our opinion, the deal adds validation to Crucell's flu program as well as the overall mAb program. We reiterate our buy rating and $26 price target," wrote Carr, in his note Monday.

"J&J is not taking a board seat and does not have the power to block an acquisition by another suitor if management and the majority of non-J&J shareholders are in support of a possible future sale of the company," Carr added.
