Beleggers moeten zich niet zomaar neerleggen bij val Biocartis

De Biocartis-beleggers, die de waarde van hun aandelen tot nul herleid zien, voelen zich bekocht en broeden op actie. Het recht biedt hen daarvoor enkele mogelijkheden, schrijft advocaat Jeroen Raskin.

De aangekondigde herstructurering van de beursgenoteerde specialist in zaklabo's Biocartis vormt een droevig orgelpunt van een al jarenlang zwalpende vennootschap. Van de intekenprijs van 11,50 euro per aandeel bij de beursgang in 2015 blijft haast niets meer over nu het bedrijf wordt opgedoekt. Tegelijk worden vanaf 2024 winsten voorspeld in een nieuwe vennootschap, waaraan de operationele activiteiten worden overgedragen.

De aandeelhouders voelen zich wellicht bekocht. Hun middelen waren goed voor de ontwikkeling van het product, maar de vruchten worden geplukt door anderen. Dat blijkt geen geïsoleerd geval te zijn. De beurswaakhond FSMA heeft in het verleden al voor die praktijk gewaarschuwd.

De kwestie
De Biocartis-beleggers, die de waarde van hun aandelen tot nul herleid zien, broeden op juridische actie.

De conclusie
Ze hebben wel degelijk enkele juridische instrumenten in handen. Een betere wettelijke bescherming van aandeelhouders zit er ook aan te komen.
Moeten de aandeelhouders zich er zomaar bij neerleggen dat ze met lege handen achterblijven? Het recht biedt hen wel degelijk enkele mogelijkheden.

Ongelijke wapens
Voor minderheidsaandeelhouders is een minderheidsvordering het instrument bij uitstek om bestuurders aan te spreken voor fouten die ze hebben begaan. Bij een minderheidsvordering wordt beoordeeld hoe de vennootschap in de financiële problemen is beland en of de bestuurders wettelijke regels hebben overtreden. Als dat niet het geval is, moet je aantonen dat de bestuurders ‘kennelijk niet hebben gehandeld als voorzichtige en zorgvuldige bestuurders geplaatst in dezelfde omstandigheden’. Dat is in de praktijk niet eenvoudig. De negatieve financiële evolutie op zich volstaat niet.

Aandeelhouders strijden vaak met ongelijke wapens. De juiste informatie verkrijgen is niet evident.
Bovendien strijden aandeelhouders vaak met ongelijke wapens en is de juiste informatie verkrijgen niet evident. Met de aanstelling van een vennootschapsrechtelijke deskundige kan een gelijk speelveld worden gecreëerd, waardoor iedereen over de juiste analyses beschikt. Ook de beurswaakhond FSMA, die dergelijke ontwikkelingen serieus neemt, voert bij voldoende aanwijzingen een onderzoek dat erg bepalend is voor de rechtspositie van de aandeelhouders.

In extreme omstandigheden kan via een kortgedingprocedure de schorsing of de nietigheid van het besluit van de raad van bestuur gevorderd worden, al beoordeelt de kortgedingrechter dat eerder terughoudend. In nog extremere situaties kan ook ingegrepen worden in het bestuur zelf, door bijvoorbeeld een controlerende bestuurder of een bewindvoerder te laten aanstellen.

Vertrouwen is essentieel
Het financieel recht biedt bijkomende rechten en mogelijkheden. De rode draad is dat beleggers moeten kunnen vertrouwen op de informatie die het bedrijf waarin ze beleggen hen meedeelt. Die moet de markt tijdig bereiken en duidelijk, correct en niet-misleidend zijn.

Wantrouwen in de werking van beursgenoteerde bedrijven kan ertoe leiden dat via de beurs veel moeilijker kapitaal wordt aangetrokken.
Vertrouwen in een correcte werking van het financieel bestel vormt het fundament van het financieel recht en bij uitbreiding van onze volledige economie. De bankencrisis van 2008 heeft de gevolgen van het wegvallen van dat vertrouwen pijnlijk duidelijk gemaakt. Wantrouwen in de werking van beursgenoteerde bedrijven kan er ook toe leiden dat via de beurs veel moeilijker kapitaal wordt aangetrokken. Zowel beleggers als ondernemingen hebben er dus belang bij.

Concreet kunnen Biocartis-aandeelhouders zich de vraag stellen of ze correct en tijdig werden geïnformeerd over de financiële situatie van de vennootschap enerzijds en over de voorwaarden en de mogelijke gevolgen van de (her)financiering anderzijds. Volgens de FSMA heeft Biocartis de markt niet tijdig geïnformeerd over het onderhandelingsproces na het beëindigen van de samenwerking met een van zijn commerciële partners. De FSMA trof daarop een minnelijke schikking, waarbij Biocartis 200.000 euro boete moest betalen. Dat doet vermoeden dat het koersgevoelige informatie betrof en kan een nuttig aanknopingspunt zijn.

Bij aanwijzingen van marktmanipulatie kunnen zowel de vennootschap als bepaalde bestuurders naar het parket doorverwezen worden, wat in andere zaken al gebeurd is. De schending van financiële regels kan dus ook strafrechtelijke gevolgen hebben.

Betere bescherming
Biocartis-beleggers hebben dus wel degelijk enkele instrumenten om verhaal te halen. De zaak rond de teloorgang van het zinkbedrijf Nyrstar heeft geleid heeft tot wetgevende initiatieven om die nog uit te breiden. In de Kamer ligt een wetsontwerp voor dat de regels over de ontmanteling van een beursgenoteerde vennootschap aanscherpt.

Ook een geplande wetswijziging om class action suits mogelijk te maken zal bijdragen tot een betere bescherming van investeerders. Ze zal ze toelaten zich makkelijker te verenigen en een vergoeding te verkrijgen voor aandeelhouders die zich in eenzelfde positie bevinden.

Daarnaast wil ook de FSMA aandeelhouders beter beschermen. Ze stelt voor de rol van de onafhankelijke bestuurder te verankeren, een beroepsverbod in te voeren voor veroordeelde bestuurders en de bewijslast om te keren ten voordele van beleggers die een nadeel ondervinden van marktmisbruik. Vooral die bewijslastomkering kan een wereld van verschil betekenen voor beleggers.

Exactly what has been said and by whom (Former employees, etc.). As far as I'm aware, I'm the one launching ranting allegations about the legality of what occurred. These rantings may be off base, but the only way this can be determined is by investigation. If this lack of transparency is not addressed Belgium may be off limits for a lot of capital.

While , I'm encouraged that the Brussels market may be realizing shortfalls and wanting to add protections, but my question is what will they do retroactively to protect BCART shareholders. As I keep saying, if the process was legal and ethical than shareholders will have to take their lumps and move on. If there were any actions that were fraudulent, as I have alleged then we need an entity to do the legal discovery to evaluate the claims and bring the facts to light.

According to Jeroen Raskin and Maarten Coenegrachts, lawyers at Monard Law, action against the dilution at Biocartis is possible. They also use the incident to make a broader point. “Shareholder protection is too quickly dismissed as activism, where investors are speculators who have to accept that they will lose money.”

The announced restructuring of the Belgian, listed Biocartis is a sad climax for a company that has been drifting for years. Almost nothing remains of the subscription price of 11.50 euros per share at the IPO in 2015. According to the restructuring plans on the table, Biocartis investors can expect little improvement. The press release announcing the restructuring makes no bones about it: “ Shareholders of Biocartis Group NV will not receive any distribution from the enforcement of the securities and are not expected to receive anything at the time of liquidation .”

The question that is now increasingly being asked is whether shareholders should have to accept that they will permanently lose their contribution and be left empty-handed, while profits are forecast from 2024 in the new entity. They may feel cheated now that their resources were good for developing the product, but the benefits will be reaped by those who have gained some control over the assets through financing agreements.

This does not appear to be an isolated case and is also a practice that the FSMA has already warned against. Contrary to certain recent reports (and apart from this case), shareholders do not have to endure this passively, but the law offers a number of strong options for action.

Action options

Without wishing to make a concrete ruling on this file, the so-called minority claim is the ideal instrument for minority shareholders to hold directors accountable for errors committed in the exercise of their directorship.

This option is reserved for an individual shareholder or a group of shareholders who exceed a certain threshold of voting rights or capital participation at the time that the general meeting votes on the discharge of the directors.

In similar cases, it will have to be assessed how the company got into financial problems and whether the directors have committed specific violations of legal rules. If that is not the case, it must be shown that the directors 'apparently did not act as normal, prudent and careful directors placed in the same circumstances'.

In practice, this is not easy proof and the mere negative financial evolution is of course insufficient. Moreover, you often see that shareholders have to fight with unequal weapons and it is not self-evident to get the right information on the table.

This can possibly be achieved through the appointment of a company law expert. Based on his research, a level playing field can be created, so that everyone has the correct analyzes of the history and the mistakes that have been made.

The FSMA has also proven that it takes such developments seriously and has the necessary research carried out, if there are sufficient indications to do so, of course with the focus on correctly informing the market. In other words, the FSMA will not be able to make a ruling on the above-mentioned corporate law aspects (although that would lead to stronger protection), but in practice one cannot be seen separately from the other, which makes the position of the FSMA and her research is very decisive for the legal position of the shareholders of listed companies.

In extreme circumstances, the suspension and/or nullity of the decision of the board of directors (for example decisions leading to restructuring) can also be requested through summary proceedings. Such procedures aim at a direct intervention in the company's decision-making and are therefore assessed with caution by the summary proceedings judge. In even more extreme situations, intervention can also be taken in the board itself, for example by appointing a controlling director or an administrator.

Trust is essential

In addition to company law, financial law offers additional rights and options for investors, which the FSMA also monitors and can investigate. In this context, various and complex transparency obligations apply, the common thread being that investors must be able to rely on the information that the issuer provides to them. They rely on this to make investment decisions.

A rule of thumb is that the information that the issuer makes public must reach the market in a timely manner and must be clear, correct and not misleading. In other words, confidence in the correct functioning of the financial system forms the foundation of financial law and, by extension, of our entire economy.

The banking crisis of 2008, for example, made the consequences of the loss of market confidence in the financial system painfully clear. Distrust in the operation of listed companies would also make it much more difficult to raise capital via the stock exchange.

In other words, investors and companies have a clear common interest and need to maintain confidence. All actions and actions that undermine that trust should be viewed with the utmost severity. These actions – and shareholder protection in general – are too quickly strategically dismissed as 'activism', where 'investors are speculators who have to accept that they will lose money'.

More specifically, it can be established that the stock price for Biocartis has been showing a downward trend for some time. In other words, shareholders will ask themselves whether they were informed correctly and in a timely manner about the financial situation of the company on the one hand and the conditions and possible consequences of the (re)financing on the other.

To date, there is no public information available that can provide a definitive answer regarding the timeliness and correctness of Biocartis' external communications. Additional research may be necessary for this. In that case, the prospectuses, press releases and internally known information will be crucial for the supervisor. Without wanting to take a position on this, the timely communication of inside information to the market already appeared to be a point of attention for Biocartis.

A useful question, for example, is what shareholders would have done if they had received certain information more quickly and how important that information was. The amicable settlement with the FSMA certainly suggests that it concerned price-sensitive information. [1] That could become a useful starting point.

In other known cases, both the company and certain directors were referred to the public prosecutor's office after detailed investigation by the supervisor due to indications of market manipulation. The referral was based on press releases and communications from the company in question regarding the actual financial and economic situation of the company. The violation of certain financial rules, including the prohibition of market manipulation, may also carry criminal consequences. A criminal infringement of the market manipulation prohibition may, for example, consist of conduct that “[ intentionally] actually or probably keeps the price of one or more financial instruments at an abnormal or artificial level ”.

The damage will always have to be estimated in concrete terms. The damage suffered by investors can be twofold [2] : shareholders who entered with incorrect, untimely, unclear or misleading information can argue that they would never have made the investment decision if they had been correctly informed about the true facts of the matter. Their damages then consist of the amount of their investment that they have lost.

The situation is different for investors who had already invested, but would have sold their shares (earlier) if the company had fulfilled its information obligations. The damage that then arises can be estimated by making the difference between the stock market price at the time when it is proven that one has sold and the current liquidation value of the shares (de facto 0.0).

In other words, investors do have a number of important instruments at their disposal, and it is positive to see that, for example, the Nyrstar case has led to additional legislative initiatives to expand these options.

It appears that the rules for the dismantling of a listed company will be tightened in the near future. According to a bill submitted to the House of Representatives for a vote, a transfer of three-quarters of the assets of a listed company will only be possible after approval by at least 50 percent of the shareholders at the general meeting.

That is certainly a strong improvement, but let's hope that the legislator will ultimately take reality into account: small shareholders do not often have a blocking minority of 50 percent.

In addition, the FSMA has taken a number of additional proposals and initiatives (perhaps out of concern to support confidence in listed companies) to strengthen protection. In her recent annual report, she initiated various legislative changes. For example, she proposed anchoring the role of the independent director, introducing a professional ban for convicted directors and reversing the burden of proof in favor of investors who suffer a disadvantage from market abuse.

Let us hope that, following the other legislative initiatives based on the FSMA's proposals, the legislator will mainly withhold the proposal to shift the burden of proof in the event of market abuse. In practice, this can mean a world of difference for investors and be an additional powerful weapon. In our opinion, there can be little objection to this, because it only facilitates the opportunity to effectively obtain compensation in the event that there is proven manipulation. Such a shift in the burden of proof in favor of the investor was also previously introduced in the Prospectus Act.

Met Biocartis verdwijnt opnieuw een Belgisch beursgenoteerd bedrijf in moeilijkheden van de Brusselse Beurs, en dit op een ogenblik dat verwacht wordt dat het bedrijf na jaren van investeren en oplopende verliezen eindelijk winstgevend zal worden.

Een deel van de Biocartis-aandeelhouders voelt zich bekocht en maakt gewag van een regelrechte 'onteigening'. Ze wijzen erop dat New Biocartis vooropstelt in de loop van 2024 operationeel winstgevend te worden. [...]
'We zitten in een situatie waarbij een bedrijf volledig wordt leeggehaald ten bate van enkele schuldeisers. Dat gaat in tegen het rechtvaardigheidsgevoel, en mogelijk ook tegen enkele rechtsregels.'

Ik wil me in deze post niet uitspreken over de merites van de door SQ-WATT Legal aangekondigde actie, noch over mogelijke door Biocartis gepleegde inbreuken op de corporate governance wetgeving, frauduleuze of onethische aspecten in dit dossier. Wel wil ik inzoemen op de vermelding van het zakenadvocatenkantoor Willkie Farr & Gallagher LLP van het dossier Nyrstar, erop wijzend dat "de procedures van de aandeelhouders voorlopig ook maar weinig [hebben] opgebracht".

In dit dossier kan ik wel met grote stelligheid bevestigen dat er talloze aanwijzingen van inbreuken op de civiele en strafrechterlijke wetgeving bestaan en dat een groep minderheidsaandeelhouders onder leiding van RSQ Investors al jarenlang een verbeten strijd voert voor transparantie, rechtvaardigheid en een verbeterde bescherming van minderheidsaandeelhouders en Belgisch beursgenoteerde bedrijven.

De trage rechtsgang in België, de complexiteit van de te voeren procedures en de talrijke ingebouwde assymetriën en beschermingen ten voordele van de referentieaandeelhouders, raad van bestuur, management en voor hen optredende advies- en advocatenkantoren zorgen ervoor dat procedures jarenlang aanslepen en de kosten vaak prohibitief hoog liggen. Uiteraard ontgaat dit aasgierfondsen en gewiekste zakenlui die eigen winstbelang vooropstellen niet, noch de talrijke professionele dienstverleners die hier een ideale broodwinning in zien.

Het gevolg is dat er een klimaat van straffeloosheid ontstaat bij deze actoren, en van toenemende machteloosheid bij de slachtoffers ervan.

Het verlies aan maatschappelijke welvaart is enorm. De leegloop op de beurs is er een symptoom van. Als België ècht een rolmodel voor deugdelijk bestuur wil spelen, dan is een dringende hertekening (lees: "versterking") van de belangen en de bescherming van minderheidsaandeelhouders aangewezen. Een drastische inkorting van termijnen en van de mogelijkheid om "excepties" in te roepen in procedures is daar een onderdeel van, evenals een toenemende aandacht voor het "fairness" aspect van doorgevoerde herstructureringen, eerder dan het spelen op de letter van de wet. En tenslotte een substantiële uitbreiding van de bevoegdheden van de marktautoriteit, zodanig dat deze ook preventief, remediërend en sanctionerend kan optreden.

Well given the slow down in the chatter, I'm guessing little is being done. I don't have much faith in FSMA following through in investigating even though the requests were pretty manageable. I've reached out to Invesco's fund management teams and have not received any response. If they are proceeding with any action, they are likely doing it through legal counsel. At a minimum I feel the shareholders are entitled to additional information on the following:

Release Fire Marshal Report
Release insurance adjuster reports on the fire.
Interview former CFO's (Jean-Marc Roelandt and Ewoud Welton) and disclosure whether they feel actions were deliberately taken to undermine financial stability of the company, also disclose dates and identities of any discussions with distressed financing providers.

I have real trouble accepting that the fire occurring after exhibiting the sequential quarters of exponential growth from 30% to 70% in the 1st Qtr 21 and 136% in the 2nd Qtr 21 was a coincidence. Furthermore, the timing of the fire at shift change between the 2nd and 3rd shifts (the time when the fewest people were present) is also extremely suspicious. All this occurred right after the user community verified that Idylla was ideally situated for MDx in the pandemic social distancing environment. FSMA needs to bring visibility of this event and it's relationship to the distressed financing conducted in 2022. How can millions of dollars of inventory (PCR reagents, finished product etc.) not have at least one camera documenting the comings and goings of people into the warehouse? Are all the companies in the Flanders Biotech corridor in Mechelen this negligent?

Ik heb veel mailtjes gestuurd maar ze antwoorden zelfs niet. Ze vinden het waarschijnlijk allemaal goed. Aandeelhouders hebben geen rechten in België. Ons geld is gestolen en we kunnen er niets meer aan doen. De machteloosheid en het verdriet blijven over, vooral voor onze familieleden want die zijn ook slachtoffer.

FSMA reageert met standaard antwoord. Ik verwacht hier niet veel van. Advocaten inschakelen via class act, kost bergen geld, systeem zoals in Amerika,dat ze een procentueel bedrag van bedongen rechtszaak inhouden voor hen, mag niet in België, zeggen ze. Dus is het opnieuw veel geld instoppen zonder dat je weet of je er ooit iets voor terug krijgt. In een hoekje kruipen en verlies incasseren is al wat overblijft.

With todays announcement of the recapitalization, It is apparent that FSMA will take no action. If they intended to perform a legitimate oversight investigation there would have been some sort of temporary restraining order to keep further actions that muddy the picture from occurring. At this point I don't have any hope for legal action, though I'm pretty sure this was planned by management for years. All I can do is plan on trying to slow down any efforts to list on the US exchanges, I'm guessing that this theft will look for a quick payday in the next year or two. This will either come from listing on a US exchange or through sale to a Danaher or similar company.

In any case the market gets the message that Belgium does not protect investor rights. The EWK (Belgium ETF) is currently trading just over 200 shares whereas the EWZ (Brazil ETF) is trading over 2 million shares. Switzerland a similar sized country is trading about 500X the volume of Belgium. Schwab provides country governance ratings on their platform. Belgium's AA rating needs to be revisited in light of BCART and Nystar others.

At this point I don't have any hope for legal action, though I'm pretty sure this was planned by management for years. All I can do is plan on trying to slow down any efforts to list on the US exchanges, I'm guessing that this theft will look for a quick payday in the next year or two. This will either come from listing on a US exchange or through sale to a Danaher or similar company.

In any case the market gets the message that Belgium does not protect investor rights. The EWK (Belgium ETF) is currently trading just over 200 shares whereas the EWZ (Brazil ETF) is trading over 2 million shares. Switzerland a similar sized country is trading about 500X the volume of Belgium. Schwab provides country governance ratings on their platform. Belgium's AA rating needs to be revisited in light of BCART and Nystar others.

I went to the FSMA and received the standard letter. I asked for more explanation about the research and then no response. This is a government company, they probably informed the government about the plans first. I even wrote to a minister but no response. It is not normal.
