Wolters Kluwer Completes Sale of Education to Bridgepoint

Divestment strengthens Wolters Kluwer strategy to accelerate profitable growth

Amsterdam (June 15, 2007) - Wolters Kluwer, a leading global information services and publishing company, today announced the completion of the sale of its Education division to Bridgepoint Capital Limited. Regulatory approvals were received, and customary closing conditions have been met.

Wolters Kluwer announced in March that it had reached an agreement with Bridgepoint to sell the Education activities for euro 774 million. The agreement was subject to regulatory approval, which was obtained on May 31, 2007. The divestment follows the September 2006 announcement on Wolters Kluwer's long-term strategy to accelerate growth and the review of strategic alternatives for the Education division.

As previously announced, Wolters Kluwer intends to return approximately euro 475 million of the net proceeds of the sale to shareholders through a share buy-back program, and will use the remainder to reduce debt and to fund investments which support the company's strategy to accelerate profitable growth.

The Education activities comprise primary, secondary, and vocational education in seven European countries - the Netherlands (Wolters-Noordhoff), Sweden (Liber), the United Kingdom (Nelson Thornes), Germany (Bildungsverlag EINS and digital spirit), Belgium (Wolters Plantyn), Austria (Jugend & Volk), and Hungary (Muszaki Kiadó) - with 2006 revenues of 316 million and approximately 1,450 employees.

AMSTERDAM (ANP) - Het uitgeefconcern Wolters Kluwer heeft de
in maart aangekondigde verkoop van zijn onderwijsdivisie aan de
investeringsmaatschappij Bridgepoint afgerond. Dat maakte het
bedrijf vrijdag bekend. Met de transactie is een bedrag van 774
miljoen euro gemoeid.

Zoals al eerder bekend werd gemaakt geeft Wolters Kluwer het
leeuwendeel van de overnamesom, 475 miljoen euro, terug aan de
aandeelhouders via een aandeleninkoop. Het restant is bestemd om
schulden af te lossen en voor nieuwe investeringen.

De verkoop van de onderwijstak past in de strategie die
Wolters Kluwer in september 2006 bekendmaakte en die gericht is
op groei van de winstgevendheid.

Nou dat terugkopen lijkt wel een averechts effect te hebben ook bij ING zakte de koers. NU is Wolters de gebten hond, met 1% verlies.
Toch heel vreemd. De rente loopt op en Wolters verkleint haar schuld.
Dat lijkt mij juist een pre.

Voor 2000 was ook al zo'n periode, Wolters uit de gratie want ze hadden te weinig geinvesteerd in internet... dat zou het helemaal worden.
Elsevier lag ver voor

Nou volgns mij achteraf toch niet zo dom geweest om niet mee te gaan in de hype.
Qua koers hebben we echter nog steeds geen waardering voor het fonds gezien, analisten wel die zijn merendeels positief.

dat hebben ze precies goed gepland dat inkoop programma. Gemiddelde goedkope prijs.

Weet iemand wat er nu aan de hand is? Gisteren al een flinke beweging up met groot volume. Ik wilde een turbo aanschaffen maar heb hem uiteindelijk niet gekregen jammer genoeg..

En nu zie ik dat er vandaag weer een grote koper inzit... WKL de volgende overname kandidaat?
