In preparation of the Annual General Meeting of the Company which was held on 7 May 2015 ("AGM 2015"), RWC, currently owning 17,9% of the Company’s share capital, had requested the Company to include in the agenda for the AGM 2015 a proposal to amend the articles of association of the Company. At the AGM 2015 such proposal could only have been adopted if at least fifty percent (50%) of the issued share capital would have been represented and two-thirds of the votes would have been cast in favour of the proposal.
At the AGM 2015 only [40,5] percent of the issued share capital was represented. As a consequence the proposal could not be adopted and in accordance with article 33.4 a second meeting is to be convened. In this second meeting the proposal to amend the articles of association as set out in this agenda item can be validly adopted with a majority of at least two-thirds of the votes cast, regardless the share capital represented at that meeting.
www.amg-nv.com/files/EGM%202015/Agend...RWC wil enkele bepalingen in de statuten van AMG laten opnemen, die het mogelijk maken voor de aandeelhoudersvergadering om het bestuur te vervangen. RWC zal er op gebrand zijn om dat spel te winnen en moet of bondgenoten zoeken, of zijn belang uitbreiden om er zeker van te zijn dat dat gaat lukken.
Misschien was het vandaag, met die omzet van bijna 1,2 miljoen stuks, wel een hele vruchtbare dag om dat belang te vergroten.
Dit steekspel kan wel eens heel interessant worden.
