AMSTERDAM--America Movil SAB AMX -2.83% , the Mexican telecom firm controlled by billionaire Carlos Slim, has terminated an agreement with Royal KPN NV to limit its stake in the Dutch company, a move which could lead to a bid for the whole of KPN and potentially frustrate KPN's plan to sell its German mobile business to Spain's Telefonica SA TEF -0.72% .
KPN said on Monday that America Movil terminated a so-called relationship agreement which was struck earlier this year to secure the Mexican firm's support for a EUR4 billion ($5.31) capital increase. By terminating the agreement with immediate effect, America Movil "may now increase its shareholding to 30% or more of the voting rights attached to KPN's share capital," KPN said in a statement.
America Movil is KPN's largest shareholder with a stake of around 28%. It was allowed to terminate the agreement in the event of a takeover offer for KPN or one of its major subsidiaries.
The move comes after KPN last week said it planned to sell its German E-Plus mobile business to a unit of Telefonica in a deal worth EUR8.1 billion. Analysts said America Movil might be looking to block the deal and launch a full takeover bid for KPN.
"We believe that the termination of the relationship agreement, in combination with widely-reported rumours that [America Movil] finds the sale price of E-Plus too low, could increase the likelihood of AMX preparing a bid for KPN," ING analyst Emmanuel Carlier said in a note to clients.
KPN shares traded 5.3% higher early Monday, making the stock the biggest riser in Amsterdam's AEX market.
America Movil said Friday it was still evaluating its options. "We will evaluate the terms and conditions of the transaction," Chief Executive Daniel Hajj said Friday in a conference call with analysts.
"When they are presented to shareholders, we'll make a determination at that point in time," he added.
