Als OIM inderdaad cheques heeft verstuurd aan de banken en brokers, dan zou het in theorie mogelijk zijn dat de cheques 'onder gewoon voorbehoud' zijn uitbetaald en dat de bank het dividend kan terugboeken.

Het zou ook nog kunnen zijn dat OIM ten onrechte geen dividendbelasting heeft ingehouden en dat het daarom wordt teruggedraaid.

Maar wat gebeurt er met mensen die hebben verkocht in de verwachting dat ze het dividend al hadden ontvangen!

Ja dat ook mijn angst keffertje, maar ik denk dat de huidige aandelen gewoon ex-div noteren.
Of dat dividend nu 30-7 was betaald, of misschien pas over 1 jaar komt maakt dan niet uit.
Zouden de huidige aandelen ineens weer cum-div noteren ontstaat er een complete chaos...

Er moet zo wie zo een notice komen van Euronext voor de handel hervat wordt om aan te geven hoe de aandelen nu zullen noteren, cum of ex dividend.
Maar OIM lag vorig jaar ook 1,5 maand dicht, dus het zou me niets verbazen als we tot de H1 cijfers op slot blijven.

Report on the poll on resolutions of the GM’s of 12. May and 28. May 2014

The Board of Directors of OIM Plc informs the market that on 10. June 2014 a poll has been taken on the resolutions proposed in General Meetings of 12 May 2014 and 28 May 2014.

A poll was taken on resolutions 2, 3 and 4 on the agenda of the General Meeting of 12. May 2014 and all resolutions carried.

A poll was taken on resolution 5 on the agenda of the General Meeting of 12. May 2014, which was a special resolution, and the resolution carried.

A poll was taken on resolution 1 on the agenda of the General Meeting of 28. May 2014 and the resolution carried.

As a consequence, the Company’s chairman Dr. J.E. Haag has been removed from his office, he will be succeeded by the Company’s vice chairman Mr. T. Ackerly with immediate effect.

The Board of Directors is very thankful for the valuable contributions made by Dr. Haag during the many years he has served the Company as a Director. The Board of Directors regrets his removal deeply.

Three new directors have been appointed to the board: Mr. A. van Raak, Mr. W. Bouma and Mr. P. Zwart.

Results poll vote AGM

July 24, 2014

The Board of Directors of the company informs the market of the results of a poll vote on the resolutions proposed at the Annual General Meeting (the “AGM”) on 24 June 2014.

A poll was taken on all resolutions on the agenda and the results of today's poll are:
Resolutions 1 – 7 and 11 – 13 have been voted down. Resolutions 8, 9 and 10 were withdrawn prior to the AGM. Accordingly, Marius Ritskes (CEO), Ronald Verhoef (CFO), Thomas Ackerly (Chairman) and Santiago Kalf have not been re-elected to the Board of Directors. Marius Ritskes was removed from the Board on July 23. Ernst & Young have not been re-appointed as auditors of the company.

PAYMENT OF DIVIDENDS SUSPENDED

To the shareholders:

LONDON – August 1, 2014 – 09:40 hours
Several changes have recently taken place within the board of directors of OIM. The press release regarding the appointment of the current board members can be found on the OIM website at the following address: www.oimplc.com/news/report_on_poll_on..., whilst the press release regarding the decision not to reappointment the former board members can be found at: www.oimplc.com/news/results_poll_vote...

The recently appointed current board members are attempting to ascertain and determine the financial position of the company. For reasons beyond the control of the current board members, this process has not yet been completed. As such, the board of directors regrets to inform you that it is compelled to act with due care and thereby to suspend payment of dividends to the shareholders. This entails that, contrary to earlier reports, that payment of dividends will be blocked until further notice. In view of this decision, it has been decided to temporarily suspend the shares.

The board of directors aim to provide the shareholders with a dividend update and further information regarding the state of affairs of the company in the next press release at the end of August at the very latest.

To the extent possible, OIM will reimburse bank fees incurred by shareholders as a direct result of unsuccessfully attempting to cash the OIM dividend cheques prior to this press release being published.

Dat komt toch niet als een verrassing?
Daar was dat PB van 1 aug voor.
Enige wat nu nog interessant gaat zijn, is hoeveel van de E1,25 per aandeel is er nog over nadat de oude directie willicht zijn zakken heeft gevuld.
En welke prijs wordt er in dat geval op het vinden van de schuldige gezet.

Dat het modder gooien gaat worden staat wel vast, alleen de vraag is staat het belang van alle aandeelhouders voorop bij het nieuwe bestuur, of gaat het vooral om het belang van sommige aandeelhouders.

Ga er maar van uit dat Marius Ritskes de € 640.000 dividend (3.370.000 aandelen)iets eerder aan zichzelf heeft uitgekeerd, en dat dit bedrag inmiddels op een veilige rekening staat geparkeerd.

Zelf denk ik dat ze Your Drinks gaan verkopen, vervolgens krijgen de aandeelhouders de kas uitgekeerd. Ritskes zal niets krijgen, op zijn geld wordt direct beslag gelegd.

Vervolgens neemt Peter Paul de Vries de lege beurshuls OIM over.

Die Your Drinks AG ist froh über eine Erweiterung der Finanzierung der Gesellschaft berichten zu können.
Die Darlehen, die der Gesellschaft zur Verfügung stehen und die auch voll eingezahlt worden sind, haben eine Summe von € 5 Millionen erreicht.
Weiterhin hat die Your Drinks AG einen Royaltyvertrag abgeschlossen, der im günstigsten Falle eine zusätzliche € 6 Millionen Finanzierung bringen wird, die teilweise auch schon eingezahlt worden ist. Die Gesellschaft hat auf Basis dieses Vertrages die Verpflichtung eine Royaltyzahlung zu leisten für jede verkaufte und abgerechnete Dose im Ramen dieses Vertrages.
Diese erweiterte Finanzierung wird es der Gesellschaft ermöglichen, ihre Geschäftspläne durchzuführen.

Hoe groot gaat het bedrag per aandeel zijn dat de aandeelhouders zouden moeten ontvangen?
Enig idee rond timing? Eind augustus volgens het laatste press release?

Je hebt overigens gelijk maar bij de persberichten inzake de verkoop van Fleischauwer staat dat een substantieel deel van de middelen zullen worden geherinvesteerd in Your Drinks. Daatom is die verkoop van een deel van het belang in Your Drinks ook zo vreemd.
